Terms of Service

Effective date: 1 July 2026

1. Acceptance of terms

By accessing or using the Mkopo Flow platform including the marketing website at mkopoflow.com and the staff portal at portal.mkopoflow.com you agree to be bound by these Terms of Service (“Terms”). If you are accessing the platform on behalf of a microfinance institution or other organisation (“Institution”), you represent that you have authority to bind that Institution to these Terms.

If you do not agree with any part of these Terms, you must not use the platform.

2. Service description

Mkopo Flow provides a cloud-based loan management system (LMS) that enables regulated microfinance institutions (MFIs) in Tanzania to originate, approve, disburse, and manage salary-secured loans for government employees. Core features include:

  • Loan application intake and underwriting workflow
  • Salary and employment verification via Bank integration
  • Automated disbursement and payroll-deduction repayment collection
  • Portfolio analytics and delinquency management
  • Regulatory reporting for submission to the Bank of Tanzania (BOT)
  • Staff role management and audit trails

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where possible, we will provide 30 days' notice of material changes to existing customers.

3. Eligibility

To use Mkopo Flow you must:

  • Be a registered microfinance institution, savings and credit cooperative (SACCO), bank, or authorised financial intermediary licensed by the Bank of Tanzania
  • Ensure all staff accounts are created for individuals who are employees or authorised agents of your Institution
  • Comply with all applicable laws and regulations, including the Microfinance Act, 2018, the Banking and Financial Institutions Act, 2006, and the Anti-Money Laundering Act, 2006

Borrower data may only be submitted for individuals who have consented to their data being processed for loan assessment purposes.

4. Accounts and access

Institution administrators are responsible for creating and managing staff accounts within the platform. You must:

  • Keep login credentials confidential and not share them with unauthorised persons
  • Notify us immediately at hello@mkopoflow.com if you suspect any unauthorised access
  • Ensure that staff roles are configured to grant only the access necessary for each individual's function (principle of least privilege)
  • Promptly revoke access for staff members who leave your Institution or change roles

We reserve the right to suspend or terminate any account that we believe is being used in violation of these Terms or applicable law.

5. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any BOT directive or regulatory guidance
  • Submit false, incomplete, or fraudulent borrower information
  • Attempt to gain unauthorised access to any part of the platform or another Institution's data
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Use automated scraping, bots, or crawlers to extract data from the platform
  • Transmit malware, viruses, or any code designed to harm the platform or its users
  • Resell or sublicense access to the platform without our prior written consent

6. Your data

All borrower and institutional data you enter into the platform remains owned by your Institution. We act as a data processor on your behalf. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

You are responsible for ensuring that you have a lawful basis to submit borrower personal data to the platform, including obtaining necessary consents from borrowers in accordance with the Personal Data Protection Act, 2022.

7. Intellectual property

Mkopo Flow and its licensors own all intellectual property rights in the platform, including software, designs, trademarks, and documentation. These Terms do not grant you any ownership interest in the platform; we grant you a limited, non-exclusive, non-transferable licence to use the platform solely for your Institution's internal business purposes during the subscription period.

Any feedback, suggestions, or ideas you provide regarding the platform may be used by us without restriction or compensation.

8. Disclaimers

The platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components. We are not responsible for any decisions including credit decisions made by your Institution on the basis of data provided through the platform.

9. Limitation of liability

To the maximum extent permitted by applicable law, Mkopo Flow and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, data, goodwill, or business interruption arising out of or in connection with your use of the platform, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising under or in connection with these Terms shall not exceed the fees paid by your Institution to us in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mkopo Flow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any data you submit that infringes the rights of a third party.

11. Governing law and disputes

These Terms are governed by the laws of the United Republic of Tanzania. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Tanzania sitting in Dar es Salaam.

12. Changes to these terms

We may revise these Terms from time to time. When we make material changes, we will post the updated Terms on this page, update the effective date, and notify Institution administrators by email at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes your acceptance of the revised Terms.
